Martin Hu & Partners ("MHP Law Firm" or "MHP") is a fully licensed Chinese law firm focusing on advising international enterprises doing business in China. Since 1999 MHP attorneys have been retained by many well-known multinational companies to counsel on their major projects from the planning to the closing stage, which have involved billions of US dollars in terms of deal amount.

MHP attorneys are dedicated to providing comprehensive premium legal services to our international and domestic clients from various industries. The breadth of our expertise is reflected in the scope of practice ranging from general corporate and commercial matters, green-field foreign investment, mergers & acquisitions, joint ventures, restructuring, employment and labor issues, intellectual property and technology protection, education collaboration, real estate, IPO and securities, tax as well as litigation and arbitration. MHP maintains both the international level of professional disciplines and the on-the-ground understanding of Chinese markets and extensive knowledge of industry-specific issues needed to handle complex cross-border transactions involving China. MHP is based in Shanghai and has liaison attorneys in many large cities including Beijing and Shenzhen. Chambers and Partners awarded the firm "the Emerging Law Firm of the Year 2010 in China" and recommended it as "a Leading Chinese Law Firm in Corporate and M&A" in consecutively latest three years.

Almost all of MHP lawyers own Master of Laws or higher degrees of top-ranked law schools in China or foreign countries (US, UK, Australia, Japan, and South Korea). Some lawyers are also admitted to other jurisdictions in addition to the PRC (New York, Ohio, Australia, Japan, and Hong Kong). All of MHP lawyers can work bilingually.

PROJECTS

  • Counseled on the establishment of Ningbo Nottingham University, the first Sino-Foreign University in China approved by the Chinese Ministry of Education
  • Advised Danone, the French food and dairy giant on its China portion sale of approximately €5.3 billion of its biscuit business to Kraft Foods Inc.
  • Advised Danone, the French food and dairy giant on the acquisition of Miaoshi Dairy, a famous Chinese private dairy group amid the recent Year 2008 dairy policy and market turmoil in China
  • Advised Jazz Semiconductor on the share purchase, in connection with the U.S. aspects related to the export of cutting-edge technology into China, from Shanghai Huahong NEC Electronics Company Limited. The deal involved multiple parties, mainly the US Jazz Semiconductor, the Japanese NEC, and the PRC electronics conglomerate Huahong Group, across three jurisdictions
  • Advised Henkel on the acquisition of the adhesive business line and the famous brand "Panda" from Shanghai Haiwen Group, in connection to the acquisition of state owned assets
  • Acted as lead counsel for 3M in its acquisition of the state-owned abrasive business as well as the negotiation and establishment of the joint venture with Shanghai Grinding Wheel Works Factory
  • Advised Philips Lighting Electronics on the acquisition of a privately held electronics enterprise in Xiamen, highlighted by a tailored non-competition arrangement with the previous owner of the target company and its key employees
  • Acted as lead counsel for Alcatel in the negotiation and establishment of the joint venture with Shenzhen SDG Information Co., Ltd with an amount of $28 million
  • Represented Henkel in the factory close-down/liquidation and related massive labor force reduction in Tianjin
  • Representing a renowned international investor in a major hotel development dispute which has a significant impact on the hotel business of Shanghai
  • Acted as lead counsel to advise Umbra, a Canada-based household product manufacturer on establishing the manufacturing base in Shenzhen, sourcing and exporting from China to Northern American, European and Japanese markets as well as advising on the strategy of its IP protection related to its household products
  • Advised Dajiang Holding Group Co., Ltd., a renowned Chinese domestic company, on its acquisition of entire reduction gear business of Valeo, a French Fortune 500 company. The case was awarded as "Deal of theYear 2010" by China Business Law Journal
  • "Litigation of the Year 2011", by China Business Law Journal, - invalidating a poorly-structured "VIE (Sina Model)" in both arbitration tribunal and PRC court
